Global terms and conditions of sale

Introduction

Applicability

These Global Terms and Conditions of Sale (“Terms”) apply to the purchase of products and ancillary services (collectively the “Products”) by seller (“Seller”) and the buyer (“Buyer”).

Buyer accepts these Terms by purchasing on this website.

Price

The prices of the products are those prices specified on this website.

The prices may be adjusted at any time by Seller.

All stated prices are exclusive of any taxes, fees, duties, and levies, however designated or imposed, including but not limited to value-added that are based upon the amounts paid under this Contract (collectively, “Taxes”). Any Taxes related to the Products purchased pursuant to this Contract are the responsibility of Buyer (excluding taxes based on Seller’s net income).

Shipping

Seller will deliver the Products within a reasonable time after receiving Buyer’s purchase order, subject to their availability. The delivery date provided by Seller for the Products is only an estimate and is based upon prompt receipt of all necessary information from Buyer.

Warranty

The warranty covers the hardware part and not the software part.

Any damage resulting from an intervention by the Customer or a third party on the equipment without Provya's approval will result in an exclusion of warranty.

Warranty limits: poor maintenance, negligence, improper electrical installation, fall, overvoltage, lack of grounding of rackmount equipment, or any other use not conforming to usual practices.

Use or storage in a humid room with condensation or in a particularly dusty room, as well as use or storage at temperatures below 0°C or above 35°C, will result in exclusion of warranty.

The warranty does not cover power supply problems caused by overvoltage or failure of the Customer's electrical network.

Power supplies are covered by a one-year limited warranty.

Cancelling and Returns

The Customer has a period of 15 days from receipt of the package to exercise his right of cancelation without having to justify reasons or pay penalties. Shipping costs, bank charges (for payments by credit card or Paypal) and return costs are not refundable.

Since we do not sell "refurbished" or "return" products as new, we accept returns minus an open box fee. A 25% open box fee will be applied. If you return a damaged or incomplete product, you should expect to receive less.

Compliance

Each party will comply with all applicable laws, regulations, and ordinances, and Buyer will comply with the export and import laws and regulations in effect as of the date of shipment of the Products of any country involved in the transactions contemplated by the Contract.

Governing law ; Venue ; Dispute resolution

All matters arising out of or relating to this Contract is governed by and construed in accordance with the internal laws of France without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than those of France. Any legal suit, action or proceeding arising out of or relating to these Terms will be instituted in french courts located in France. Each party irrevocably submits to the exclusive jurisdiction of the courts in any the suit, action or proceeding.
